Terms of use
Effective 5 September 2026 · Version 1.0
These terms are an agreement between Intelligent Metrics Inc., a corporation registered in Ontario, Canada, operating as Duly Qualified (“Duly Qualified”, “we”, “us”), with its principal place of business at 895 Don Mills Rd, Two Morneau Shepell Centre, Suite 900, Toronto, Ontario M3C 1W3, and the person or firm using the website at dulyqualified.com, the client portal at app.dulyqualified.com, or any of the services described below (“you”).
By using the website, requesting a gap report, subscribing to the digest, signing in to the portal or paying for a service, you accept these terms and the privacy policy, which is part of them. If you are acting for a firm, you confirm that you are authorised to bind it. If you do not agree, do not use the services.
Where you have signed a statement of work or a subscription agreement with us, that document governs the engagement it describes, and where the two disagree, the signed document wins.
1. What the services are
The website. The public pages, the modernization tracker, the method-of-supply explainers and the archive of the weekly digest. Free to read.
The weekly digest. A free email about the federal professional-services market, sent to addresses that have confirmed their subscription. Section 7.
The gap report. A free, one-page report built from public federal procurement data: what your firm has won federally, in which categories, and whether the record suggests your firm holds the supply arrangement that gates that work. Section 4.
Weekly judgment. A paid subscription under which, each week, we send your firm a short list of federal opportunities, each marked bid, do not bid or watch with a reason, through the client portal. Sections 5 and 6.
Qualification projects. A fixed-scope engagement to prepare and manage your firm’s submission for a federal supply arrangement, under a signed statement of work. These terms apply to your use of the portal during the project; the statement of work governs everything else.
2. What the services are not
Everything we send you - a gap report, a weekly verdict, an entry in the tracker - is professional opinion built from public data and from what you have told us. It is advisory.
- We do not promise a qualification, an award or a contract. Public Services and Procurement Canada (PSPC) and the buying department evaluate and decide. We do not control the evaluation and cannot predict it.
- We do not write bids. Qualification gets you into the pool. What you bid on inside it, and what you write, is your decision and your work.
- We are not lawyers, accountants or licensed agents, and nothing we send is legal, financial or tax advice. Where a decision needs that advice, take it.
- A verdict is a reason to look, or not to look. It is not a decision made for you. You remain responsible for every bid you submit and every bid you decline.
3. Where the information comes from, and its limits
What we say about any firm comes from published federal procurement data: CanadaBuys tender and award notices, federal contract history, and the PSPC list of standing-offer and supply-arrangement holders. We do not scrape, buy or receive information about firms from private sources.
The public record is incomplete in one specific way, and every report says so: PSPC does not publish the holder lists for TBIPS, SBIPS, TSPS or ProServices. When a report says your firm is absent from a vehicle, it means that no award under that vehicle names your firm in the public record. That is evidence of absence, not proof. If you already hold the arrangement, the report is wrong, and you agree to tell us so that we can correct the record.
Published data changes, is republished and sometimes contains errors. We do not warrant that the public record is complete, or that our reading of it on one date will match a later one.
4. The gap report
A gap report is free and carries no obligation on either side. To build it we use the firm name and email address you give us, the public record, and nothing else. We may decline to produce a report - for example where the firm cannot be identified in the record - and will say so.
You may share the report inside your firm. You may not present it as our endorsement of your firm, or as a statement about any other firm’s standing.
5. Accounts and the client portal
The portal is by invitation. When you are invited you accept these terms - a box on the registration page, recorded with the version you accepted - then choose a password and set up a second factor, which is mandatory. Each account is for one named person; do not share credentials. You are responsible for what is done under your account, and you agree to tell us at once at contact@dulyqualified.com if you believe it has been used without your authority.
You may upload documents to the portal in support of a project or your firm’s profile. You confirm that you have the right to give us each document and the information in it, including any personal information about your staff. How we handle documents is in the privacy policy.
Do not use the portal or the website to probe, load-test, scrape or interfere with our systems, to upload malicious files, or for any unlawful purpose. We may suspend an account to protect the service or other clients, and will tell you why.
6. Fees, billing and cancellation
Prices are published on the pricing page in Canadian dollars, before applicable taxes. Taxes are added at the rate that applies to your billing address.
The weekly judgment subscription is billed monthly in advance, by card or pre-authorized debit, through Stripe. You may cancel at any time from the portal; access continues to the end of the period already paid, and nothing further is charged. Fees already paid are not refunded except where the law requires it. A failed payment pauses the subscription until it is settled.
Qualification projects are a fixed fee, invoiced in milestones set out in the statement of work - 30% at mapping sign-off, 40% at submission and 30% when the deficiency cycle closes, unless the statement of work says otherwise. An invoice unpaid past its due date pauses the project until it is settled.
Founding-client prices are honoured for as long as the client stays. Otherwise we may change prices with thirty days’ written notice; the new price applies from your next billing period.
We never see or store your card or bank details. Payment is handled by Stripe under its own terms.
7. The digest, and email consent
Subscribing is double opt-in: your address is added only when you click the confirmation link, and nothing but the confirmation is sent before that. We keep a record of the consent - the address, the time, the IP address and the page - as Canada’s anti-spam legislation (CASL) expects, and we keep it after you unsubscribe as proof that consent was given.
Every issue carries an unsubscribe link that takes effect at once. An address that unsubscribes goes on a suppression list so that it cannot be mailed again by mistake.
8. Your information and confidentiality
Everything you give us about your firm - profile, documents, plans, the things you will not bid on - is confidential. We use it only to provide the services and bill for them; we disclose it only to the service providers named in the privacy policy and only as far as their job requires; and we would disclose it to a Canadian court if ordered, telling you unless the order forbade it.
Client documents are encrypted before storage, held for the periods in the privacy policy, and then deleted automatically with a record of the deletion.
9. The record
Every verdict we give a subscribing client is written to a ledger that cannot be altered, including by us. You may read and export your firm’s record at any time from the portal. We keep verdicts, and the record of what happened after them, permanently: they are the evidence on which the practice’s claims rest.
We may describe our track record in aggregate - how many verdicts, how many outcomes of each kind - without identifying any client. We will not name your firm as a client, or quote a verdict given to it, without your written agreement.
10. Intellectual property
The website, its text, the tracker, the explainers and the digest are ours. You may quote from them with attribution and a link. You may not republish them, scrape them, or use them to build a competing product.
Documents you give us remain yours. The submission package we assemble for a qualification project is yours once the project’s fees are paid, and it is organised to be reused. The templates, checklists and methods we use to produce it remain ours.
11. Availability
The website and the portal are provided on a best-effort basis; there is no service-level commitment. We may take the portal down for maintenance and will try to say so in advance. The weekly cadence means that hours of downtime are usually invisible. If downtime ever affects a verdict, the verdict is still sent.
12. Ending the agreement
You may stop using the website at any time, cancel a subscription as described in section 6, or ask us to close your portal account from your account page. We verify who is asking and close it, usually within two working days: every sign-in is locked, remaining documents are deleted with a record, and a subscription stops at the end of the period already paid for. We may end a subscription or an account with thirty days’ notice, or immediately if you breach these terms in a way that is not remedied within fifteen days of our telling you. On ending, outstanding fees fall due; you may export your record beforehand; and the privacy policy says what is deleted and what is kept.
Sections 2, 3, 8, 9, 10, 13, 14 and 16 survive the end of the agreement.
13. No warranty
To the fullest extent the law allows, the services are provided as they are and as available, without warranty of any kind, express or implied - including that a report or verdict is accurate or complete, that reliance on it will lead to any qualification, award or contract, or that the services will be uninterrupted or error-free.
14. Limit of liability
To the fullest extent the law allows, Intelligent Metrics Inc. and its directors, officers and contractors are not liable for indirect, consequential, special or punitive damages, or for lost profits, lost revenue, lost bids, lost contracts or lost data, arising from the services or from your reliance on them, even if told they were possible. Our total liability to you for everything arising under these terms is limited to the greater of the fees you paid us in the twelve months before the claim and one hundred Canadian dollars.
This limit does not apply to liability for fraud, gross negligence or wilful misconduct, or where the law does not permit it to be limited.
15. Your responsibility to us
You agree to indemnify Intelligent Metrics Inc. against third-party claims arising from a document you gave us without the right to, from your breach of these terms, or from a bid or other filing you made in your own name.
16. Law, disputes and language
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Before either of us starts a proceeding, we agree to try to resolve the dispute by written notice and thirty days of good-faith discussion. Failing that, the courts of Ontario have exclusive jurisdiction.
These terms are published in English and in French. The two versions have the same meaning; if they ever differ, the English text governs unless a signed engagement document says otherwise.
17. The rest
If part of these terms is unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a successor of the business. Notices to us go to contact@dulyqualified.com or to the address above; notices to you go to the email address on your account. We may change these terms; material changes are posted here with a new effective date and, for portal users, emailed thirty days before they take effect.
